Attorney Ruming Liu is a founding partner of MagStone Law, LLP, which has law offices in both California and New York. Prior to this position, Liu worked for Morrison & Foerster LLP in its Hong Kong, Los Angeles and Palo Alto offices and for Jun He Law Office in its Beijing office.

Having practiced corporate and securities law since 2002, Liu has plenty of experience representing financial institutions, investment banks, and private and public companies in and outside of the United States. Liu is experienced in cross-border transactions, and is knowledgeable of both U.S. and China law.

In her private company practice, Liu represents startups and emerging growth enterprises, guiding such businesses from formation to acquisition. Liu advises clients on equity financing, initial public offerings (IPOs), operational compliance, technology development (such as licensing and distribution) and venture capital financing. She also consults with angel investors and venture capital firms regarding investments in startups.

In her public practice, Liu focuses on corporate governance, executive compensation, mergers and acquisitions, periodic reporting, registered and unregistered securities offerings, and tender offers. Liu was the lead associate in the initial public offerings of China Tianrui Group Cement Company Limited, Daming International and SPT Energy Group in China. She has also represented Fortune 500 companies, including Wal-Mart Stores, Inc.

Liu earned a Bachelor of Laws degree with honors at Peking University Law School. She received a Master of Common Law degree at the University of Hong Kong Faculty of Law and a Master of Laws degree at the University of Pennsylvania.

Liu is admitted to practice law in California and New York, as well as the United States Tax Court. She speaks English and Mandarin.
